Mr. William F. Nelson, Attorney

William L. Nelson graduated Phi Beta Kappa from the University of Arizona with a dual bachelors degree in government and economics, and a minor in accounting. He received his Juris Doctor from New York University, where he was a Root Tilden Scholar. Mr. Nelson's experience includes providing a full range of transactional and corporate/business consulting and advisory services for clients in corporate, business, securities, intellectual property, banking/finance, real estate, hospitality, entertainment, and media matters. Before forming his own firm, Mr. Nelson was associated with the law firm of Gibson, Dunn & Crutcher.

Mr. Nelson has been a member of the California Bar for more than 30 years, and has extensive experience in both a legal capacity and as an owner of businesses. In addition, Mr. Nelson has held outside director positions on several corporate boards.

Over the course of his career, Mr. Nelson has advised and facilitated various public and private securities, corporate, and real estate matters, representing publicly held and private/closely held entities. He has facilitated the raising of equity and negotiated loans from private and institutional lenders, and has been involved in various venture capital matters.

Mr. Nelson has represented clients acquiring, merging or selling entities or assets, and reconfiguring or reorganizing entities or assets. Mr. Nelson representation and advising experience covers industries such as manufacturing, service, agricultural, hospitality, studio, and entertainment entities in various matters, including business development, intellectual property protection and licensing, proprietary information/asset protection, key employee incentives (including stock option employment agreements), non-competition protection, insurance/risk management programs, and governmental licenses and permits. He has advised on a number of shareholder disputes and has worked internationally with foreign clients and their banks to develop U.S.-located businesses, and to obtain guarantees for U.S. based projects.

He has handled various types of real estate matters including the purchase, sale and leasing of developed and undeveloped real property, the leasing of facilities, and matters pertaining to the use or ownership of such properties.  Transactions have included properties as diverse as commercial office buildings, entertainment and restaurant venues, studio facilities and agricultural land. As such, Mr. Nelson's considerable expertise encompasses not only deal structuring and conveyancing issues, but also financing arrangements and issues pertaining to governmental approvals.

He has taught courses in business organization and securities law as an adjunct professor at Southwestern Law School, in both the regular and SCALE programs.

Mr. Nelson is a member of the California State Bar Association, No. 45682, as well as the Los Angeles County Bar Association and the American Bar Association.
