These rules provide a point of reference or authority for judges deciding similar issues in later cases. Lower courts must apply these rules when faced with similar legal issues. Directors meet to consider or ratify important business decisions, such as borrowing money, buying real property or hiring key employees.

In most states, employers are prohibited from discriminating against employees who are called for jury duty--that is, they cannot demote or fire an employee for serving.
