About Fred
Fred is a co-founder of Fortis General Counsel. Fred's practice focuses on general counsel services, with an emphasis on technology licensing, general corporate counseling, mergers and acquisitions, financings and other corporate transactions. He represents emerging growth and mature companies.
Prior to founding Fortis General Counsel, Fred was Vice President and General Counsel of Paciolan, Inc., a ticketing solution software company, where he was responsible for the legal affairs of the company, including inbound and outbound licensing transactions, corporate transactions, corporate governance, employment counseling and management of outside counsel. At Paciolan, he negotiated commercial licensing agreements with professional sports teams in the NBA, NHL and MLB, as well as major national universities such as Stanford University, University of Notre Dame, Boston College, University of Michigan, Duke University and Louisiana State University. Fred represented Paciolan in connection with its acquisition by Ticketmaster and continues to represent Ticketmaster Irvine.
Prior to Paciolan, Fred was the interim Chief Financial Officer, Vice President and General Counsel of Bitfone Corporation, a wireless software provider acquired by Hewlett-Packard, where he was responsible for the company's financial, legal, administrative, human resources and information technology operations at its headquarters in California and international offices in Canada, the United Kingdom, China, Japan and Korea. As legal counsel to Bitfone, he negotiated and closed the company's merger with Digital Transit, Inc., cross-border acquisition of Mobile Diagnostix, Inc., over $50M in equity financings and commercial licensing transactions with major wireless manufacturers and operators such as Motorola, Qualcomm, LG, Sony Ericsson and SK Telecom. Fred served as Bitfone's General Counsel in connection with its acquisition by Hewlett-Packard. Prior to Bitfone, Fred practiced law in Silicon Valley and Orange County, representing emerging growth companies in connection with their general corporate, technology licensing, financing and M&A activities.
Fred holds a JD from the USC School of Law, where he participated in the Moot Court Honors program and was a member of the National Moot Court Team, achieving distinctions in national oral advocacy and writing competitions. He also holds an MBA from the USC Marshall School of Business, where he graduated with honors, and undergraduate degrees in Business Economics and History from UCLA. He is a member of the State Bar of California.
