Jeffrey A. Assisted a company with its $126,500,000 initial public offering after having represented the same company in raising over $130,000,000 through a succession of private equity financings.

Represented a technology company and its shareholders in the sale of all of the company's issued and outstanding stock in a $40,000,000 all cash transaction just three years after having represented the same company in its initial $2 million private placement of equity securities.

Represented numerous companies in both buy-side and sell-side mergers and acquisitions with transaction values ranging from $1 million to $200 million.

Represented a bankruptcy trustee of a publicly traded company in federal court litigation against a former financial officer for breach of fiduciary duties to the company.

Negotiated and closed an offshore securities offering under Regulation S for a Virginia limited liability company in coordination with foreign counsel.

Prepared and coordinated all U.S. Securities and Exchange Commission filings for a "foreign private issuer" with publicly traded securities in the United States.
