About Louis

I am a business and tax attorney. I have been representing Internet startups since 1994 and participated in the birth of the industry. Those startups are the main focus of my practice today, but I have also represented many other small businesses in retail, manufacturing, food, advertising, and other industries. My role is that of an outside general counsel, handling all aspects of the formation, operation and financing of my clients. For complex issues outside my expertise, I utilize a network of other attorneys with specialty practices.

I also have over 40 years of experience representing companies that are being sold or are acquiring another business. In 2004, I founded an investment bank, Aleutian Capital Partners, to focus on mergers and acquisitions thus giving me a unique perspective on the combined business and legal issues arising in acquisitions.

After receiving by Master Laws in Taxation at NYU Law School, I commenced my career as a tax attorney in the tax department of a prominent Wall Street law firm and have continued to advise clients on sophisticate tax matter throughout my career.

We are happy to customize our fee arrangements for each client. Typically, we provide a limit beyond which we will not charge without obtaining the client's permission. We can often agree to a monthly retainer which will cover all legal services performed each month. Occasionally, we can quote fixed maximum fees, although the variety of issues that arise in almost every assignment often precludes that approach. Unlike other law firms, Black & Associates does not charge for routine disbursements such as telephone, faxes, copying, etc. Instead, we ask that clients reimburse us only for extraordinary charges such as printing of closing binders, courier and messenger services, foreign telephone charges, filing fees, and the like. In order to minimize such charges, this firm uses, to the extent practicable, e-mail communications. Lawyers' rates are substantially lower than other New York City firms doing similar work.

Questions & Answers

Please describe a case in the last year or two where you made a big difference.

One recent case I found fascinating was designing an SaaS agreement that fit a developing class of software in a unique way. It required a rethink of all the usual bells and whistles in an SaaS agreement to make it easy to sign by the licensee.

How did you build a successful practice?

There is only one way to build a practice for startups and small businesses the long term and that is to be extremely responsive and careful to control costs. It also involves consulting with specialists in the case of complex areas of the law.

What should clients look for in a lawyer?

Look for an attorney who says \"I don\'t know,\" i.e., an attorney who is honest about what he or she is capable of doing and within what kind of budget. Boastful, arrogant attorneys run up cost and make excuses for lack of performance.

How important is local knowledge to the success of your cases?

Since much of my work involves federal securities law, tax law and cross border transactions (such as m&a) local knowledge is not as important to my practice as others.

What information can you provide in a free phone consultation?

I can often answer a prospective client\'s general questions and if there are questions to which I don\'t know the answer, I will offer to research them with a limit on cost.

As many details as possible about the client\'s business and legal needs.

What differentiates you from other lawyers in your community?

I differentiate my practice by maintaining a network of specialist attorneys and accountants who can assist in areas of law and accounting in very cost-effective ways. I also own an investment bank, which assists in my M&A practice.

What is the most rewarding aspect of your job?

Without a doubt the most rewarding aspect of my practice is when we find a unique and economical solution to the client\'s need.

What are your other interests in addition to law?

Historic preservation, early childhood education, wine, alternative investments and wine.

Are you involved in your community?

Yes, I serve on the Board of a private foundation that makes grants for the betterment of the underprivileged and my wife and I are heavily involved in supporting the arts in New York City.
