About Terri
Terri Ann Motosue serves as one of the firm's Managing Partners and she is also a partner in the firm's Real Property, Land Use, and Environmental Regulation Practice Group. Ms. Motosue concentrates her practice in the areas of real estate, finance, mergers and acquisitions and general corporate law. In the real estate area, her practice includes a range of real estate matters, including acquisitions and dispositions, financings, and real estate development. In the finance area, she has represented major commercial banks and investment banks as lead agent in a variety of lending transactions, including complex domestic and cross-border syndicated secured and unsecured credit facilities and acquisition and leveraged financings. As counsel for the agent banks, she is involved in all aspects of the deal structure and in the negotiation and documentation of such transactions. Ms. Motosue also has experience representing lenders, lessees, lessors and equity investors in leveraged-leasing transactions. Prior to becoming an associate at Carlsmith Ball LLP, Ms. Motosue practiced in New York City with White & Case LLP and King & Spalding LLP. In addition, having practiced in Bangkok, Thailand with White & Case LLP and experience at a large Japanese law firm, Ms. Motosue has broad experience with foreign clients.
Representative Matters
Among the transactions Ms. Motosue has participated in are: representation of clients in connection with numerous acquisitions and dispositions of major real estate assets, including the $34.6 million sale of Downtown Honolulu Superblock; acted as counsel to a developer in the development and sale of a 700-unit mixed-use high-rise resort condominium hotel project in Kaanapali, Maui; and representation of trustees in termination of private trust and transfer of $2.7 billion in property and other assets to successor entity.
In the finance area, she has acted as counsel to lead agents and arrangers in connection with a $1 billion unsecured credit facility for a U.S. public utility company; representation of lead agent in connection with a $425 million secured cross-border syndicated credit facility for an electric power transmission and distribution company; representation of the lead agent in connection with a $50 million senior secured credit facility for the acquisition by private equity group of a national bakery cafe chain; and counsel to an international fitness center chain in its $375 million senior secured credit facility from major investment banks.
In the mergers and acquisitions area, she has represented both sellers and acquirers in both domestic and cross-border mergers and acquisitions. Ms. Motosue has also handled a variety of corporate matters including debt private placements, 144A offerings and letters of credit facilities.
