Henry A. Herrman is an associate in the Real Estate Group of Gilchrist & Rutter. Mr. Herrman's practice focuses on commercial real estate, partnership and business transactions concerning development, construction, financing, leasing, acquisitions and dispositions, joint ventures, and management issues, contract negotiation, preparation and analysis.

Mr. Herrman's practice includes negotiation and preparation of joint venture agreements, loan documents, owner-architect and construction agreements (including AIA documents), development agreements; exchanges; REA's, CC&Rs; ground leases; title insurance; and related real estate, partnership, land use and development documentation. Mr. Herrman also represents clients in landlord-tenant and related real estate contract litigation matters, including unlawful detainer actions, breach of lease actions, and general real estate related disputes.

A licensed California Real Estate Broker, Mr. Herrman authored Mezzanine Financing: He Who Holds the Cash is King for the Los Angeles County Bar Association's Real Property Section Review (Winter 2005), and Privity: How HUD Avoided Contract Liability Under ELIHPA and LIHPRHA, published in Southwestern University Law Review (2001). Mr. Herrman also co-authored Elements of a Real Estate Loan -- A Primer for the LACBA's Summer 2005 edition of Real Property Section Review.

Mr. Herrman graduated cum laude and Dean's Merit Scholar from the Southwestern University School of Law in Los Angeles, where he served as Associate Editor of Southwestern University Law Review and President of Southwestern's Land Use and Real Estate Society. He earned his B.B.A. cum laude from Fort Hays State University in Hays, Kansas.

Prior to joining Gilchrist & Rutter, Mr. Herrman served as Judicial Extern to the Hon. Kathleen T. Lax, U.S. Bankruptcy Court, C.D. Cal., and to the Hon. Harry Pregerson, Ninth Circuit Court of Appeals.

Representative Experience:

  • Representation of commercial office landlords owning and managing over ten million square feet of first class high-rise multi-tenant office projects in downtown Los Angeles (including, e.g., Wells Fargo Center, US Bank Tower, and California Plaza), and low and mid-rise office projects in other areas of Los Angeles, Orange and San Diego Counties (e.g., Sunset Media Tower in Hollywood, the Water Garden in Santa Monica; and Park Place in Irvine); negotiation and documentation of office and retail leases for small premises to multi-floor premises.

  • Tenant representation for office, retail and industrial leases in downtown and suburban office and mixed-use projects throughout California.

  • Representation of national developer in negotiating and drafting architect agreements, contractor agreements, consulting agreements and related agreement and documents for first-class hotel and resort, spa, private residences, and golf-course redevelopment.

  • Representation of private equity firms in multiple joint venture transactions, including negotiating and documenting joint venture agreement, forming and documenting corporate formation, form leases, management agreements, and related documentation.

  • Representation of national and local real estate owners in negotiating and drafting mortgage loan documents, mezzanine loan documents, and private equity financings for office and residential development projects, stabilized and value-add asset financings and refinancing.

  • Representation of real estate developers/owners in two initial public offerings, handling the real estate and partnership matters in connection with the IPOs.

  • Representation of fixed based operators at general aviation airports in negotiating and documenting hangar and office leases, subleases, ground leases, and related agreements.

  • Representation of local and national real estate owners and investors in the acquisitions and dispositions of over $5 billion of office, residential, and retail properties, including purchase and sale agreements, title insurance, survey and related due diligence matters, closing documents, and coordinating multiple concurrent escrow closings in single transactions.
