RANDY E. DUNN

Randy E. Dunn was born in Hutchinson, Kansas in 1954. Mr. Dunn's family has for years been involved with several aspects of the Kansas farming community. As a child, Mr. Dunn helped with his grandfather's wheat harvest each summer. He became familiar with the local farmer's cooperative elevator company that stored and purchased the wheat. His father worked with a company that constructed numerous elevator sites for cooperatives and other farm-related businesses. His mother worked with a regional grain-marketing firm.

During the early years of his law practice, Mr. Dunn provided legal services for a number of small to medium sized businesses in the Denver and Colorado areas, including several farmer cooperatives in the State of Colorado. One of his projects for a client became an article in The Agricultural Law Journal entitled '1001 Questions' Concerning Bylaws of Agricultural Cooperatives, co-authored with James B. Dean, which explored several issues that should be considered in the adoption or amendment of a company's bylaws.

Mr. Dunn's practice over the last several years has focused on all phases of complex commercial litigation, including advisement of clients regarding claims, preparation of pleadings, research for and preparation of motions and briefs, representation of clients in trials, arbitrations, and mediations, and several arguments before the Colorado Court of Appeals. The litigation cases in which Mr. Dunn has been involved have included shareholder, partnership and limited liability company disputes and derivative claims, breach of contract, defense of class actions in the areas of shareholder distributions and consumer complaints, defamation (business and individual), tortious interference with contractual relations, trademark and copyright infringement, fraud, fraudulent transfers, disputes regarding Joint Operating Agreements and Unit Operating Agreements, telecommunications claims, officer and director liability, personal injury defense, creditor representation in bankruptcy cases, and construction defects for commercial and residential properties.

During this time period, Mr. Dunn continued to advise and form a variety of businesses, including corporations, limited liability companies, and partnerships. This work included the negotiation and closing of the purchase and sale of businesses or business assets.

Since joining the firm of Dean, Dun & Phillips LLC, Mr. Dunn has concentrated his practice in the areas of business acquisitions and real property matters. He has represented a client in the financing and acquisition of over 50 retail properties in the Denver Metropolitan area from BP Products North America, Inc., and has provided advice and representation in numerous other transactions concerning real property matters.
