About Richard
Richard J. Kelber has over 30 years of experience in the areas of mergers and acquisitions, business law, and estate planning. He has dealt in-depth with business formation, acquisitions and dispositions, reorganizations, joint ventures, partnerships and a variety of financing transactions, business agreements and corporate law issues.
Mr. Kelber has repeatedly been selected by his peers as a "Super Lawyer" and has been selected for inclusion in "The Best Lawyers in America." Mr. Kelber's clients benefit from his exemplary analytical, drafting and negotiating skills when faced with important business transactions. He handles a wide range of acquisitions, from transactions under $1,000,000 to large transactions in excess of $1,200,000,000.
Mr. Kelber's work as a business lawyer is enhanced by his prior experience as a corporate executive, having served as vice president and general counsel to a substantial group of privately held companies. Through this experience, he has gained an insider's view of the legal and business aspects of many crucial corporate operational matters in areas such as accounting, finance, insurance, benefits and personnel and environmental affairs. As a result, Mr. Kelber brings a client's perspective to his business practice, combining a practical business viewpoint with technical legal knowledge.
In addition, Mr. Kelber assists business owners and individuals in developing estate and business succession plans which address their business, personal and family objectives. He integrates the client's business planning and estate planning goals in order to meet the comprehensive needs of the business owner.
Mr. Kelber has served for many years as a member of Moss & Barnett's Board of Directors, and previously served as chair of the Commercial Department. In addition, Mr. Kelber is active in the larger legal community, serving on the Minnesota Bar Association committee which advises the legislature on technical revisions to the corporate law statute. He has spoken at legal education seminars regarding UCC Issues in Asset Acquisitions and regarding "Financial Statements - The Roadmap to An Acquisition." Recently published articles which he has coauthored include "Avoid 10 Common Legal Mistakes When Starting Out" and "You're Not in Kansas Anymore: Sarbanes-Oxley."
