About Robert
Mr. Wexler represents public and private corporations, particularly in the areas of capital formation transactions and mergers and acquisitions. He has participated in numerous financing transactions, including the public and private placement of debt and equity securities, commercial paper programs, debt financing obtained from bank and other institutional lenders, and venture capital investments. Mr. Wexler is the former senior vice president and general counsel of a $2 billion multi-bank holding company whose common stock is traded on the New York Stock Exchange. He also has represented numerous other banks and bank holding companies, particularly in connection with acquisitions and other change in control transactions. He successfully defended a bank holding company against a hostile takeover, and has been called upon to serve as special counsel to banks and bank holding companies with regard to regulatory, change in control and other matters.
Mr. Wexler has represented issuers and underwriters in public offerings of both debt and equity securities, including initial public offerings. He also represents issuers in the private placement of their securities. Mr. Wexler regularly advises public companies on disclosure requirements, takeover defense mechanisms and proxy matters.
