Todd Jaye is a member of Maslon's Business and Securities Group. Todd's practice is focused primarily on technology and intellectual property transactions; business life cycle counseling for entrepreneurs and emerging growth companies; and mergers, acquisitions and divestitures. Todd joined Maslon after practicing at Wilmer, Cutler & Pickering (Washington, D.C.) and Skadden, Arps, Slate, Meagher & Flom (Chicago).

• Represented Wits Basin Precious Minerals, Inc. in connection with several international and domestic strategic alliances, including a joint venture with Journey Resources Corp. and Minerales Jazz S.A. de C.V. in the Vianey Silver-Lead-Zinc Mine in the State of Guerrero, Mexico.

• Represented US Office Products Company in its $250 million sale of assets to Corporate Express, Inc.

• Represented technology company in connection with various asset acquisitions ranging in value from $5 million to $52 million.

• Represented PSINet, Inc., a pioneering wholesale Internet service provider, and 28 of its Affiliated Debtors in connection with their Chapter 11 reorganization cases, including the sale of its Hong Kong operations to CITIC Pacific Limited.

• Represented Marketing Architects, Inc., a national leader in direct response radio advertising, with respect to numerous advertising, lead generation, production and related broadcast radio transactions.

• Represented Kmart Corporation and 37 of its Affiliated Debtors in connection with their Chapter 11 reorganization cases, including the $8.4 million asset sale of BlueLight.com to United Online Inc..

• Represented Imagility Inc., a California technology company, in connection with its purchase of substantially all the assets, including certain patent rights, of a manufacturer of portable actuators used in the entertainment and construction industries.

• Represented Gentra Systems, Inc., a privately held biotechnology company, in connection with its $38 million merger with QIAGEN North American Holdings, Inc.

• Represented FastFunds Financial Corporation with respect to its $14 million asset sale of its wholly-owned subsidiary, Chex Services Inc.

• Represented chapter 7 trustee in connection with the bankruptcy of Brobeck, Phleger & Harrison, LLP, one of the largest law firm failures in United States history.
