Mr. Garbia is co-founder and managing partner of GarbiaPlocki, LLP. Mr. Garbia has extensive experience advising companies, new businesses, and entrepreneurs regarding matters of business formation and complex business transactions. Mr. Garbia has also acted as outside general counsel for a wide range of companies. He regularly advises his clients regarding appropriate business structures, in particular by advising them regarding the benefits and potential difficulties associated with forming corporations, limited liability companies, partnerships, and other commercial entities. In addition he has worked closely with his clients’ management team to minimize risk and maximize efficient business operations by helping them develop, review, and/or revise key documents and business practices. Mr. Garbia regularly advises corporations in government contracting at the federal, state and local levels as well as general commercial contracting.
Mr. Garbia also concentrates his work in commercial real estate development, acquisition, sales, leasing and finance. Mr. Garbia has served as an expert in real estate litigation matters offering opinion in the field of real estate, commercial lending, and business transactions and has rendered professional opinions about the standard of care, duties and obligations for attorneys in connection with closing on a commercial lending transaction; the standard of care, duties and obligations of title agents/companies in connection with the closing of a commercial lending transaction; and the standard of care, duties and obligations of a settlement agent in connection with the closing of a commercial lending transaction. Mr. Garbia also has experience with the following types of finance-related transactions: representation of lenders in transactions involving the purchase and sale of commercial loan portfolios; representation of lenders in Shari’ah-compliant financing transactions; and representation of lenders in debtor-in-possession and exit financing transactions.
