Joel Weinstein, Attorney

Joel Weinstein heads the firm's Corporate and Securities practice.  His hands-on experience and legal expertise enable him to handle the increasing complexities of today's transactions, including mergers, acquisitions, asset and stock sales, private and public debt and equity financings, strategic alliances, and SEC reporting requirements. He advises corporations, partnerships, joint ventures, non-profit organizations and individual investors on business entity structures, corporate governance, director responsibilities and investor agreements. 

Joel frequently applies his broad experience as "outside general counsel" for closely held businesses.He helps clients with all facets of operating their businesses, as well as with succession planning and tax planning for ownership transfers. 

Representative Engagements:

• Represented Mandarin Holdings in obtaining a senior secured credit facility and in acquisition of the LeAnne Chin restaurant group.
• Represented Advanced Biotherapy, Inc. with an equity placement, debt restructuring, and stockholder rights offering.
• Represented Laser Eye Surgery Centers in their sale to a United Kingdom corporation.
• Assisted selling shareholders to structure the share buyback of their respective minority interests in family-owned and closely held businesses with annual revenue ranging from $8 million to $80 million. The successful processes involved business valuation experts and business consultants familiar with the dynamic of owners of closely held businesses.
• Counseled several emerging companies regarding private placement of equity and convertible debt.
